Professional Subscription to the Réseau Fâmme

1. Service Provider Identification
These general terms and conditions (the "Conditions") govern the subscription to the Réseau Fâmme offered by:
Dorothée Dinne, a natural person operating as a self-employed individual under the trade name "Fâmme"

Hereinafter referred to as "Fâmme" or "the Service Provider".
2. Definitions
- Platform: the website www.fammevisible.com and its subdomains, as well as the digital spaces operated by Fâmme (Network directory, Content Hub, marketplace, community spaces).
- Professional: any business within the meaning of Article I.1, 1° of the Code of Economic Law (self-employed individual, company, or association) engaged in a health, care, support, or wellbeing activity, who takes out a Subscription.
- Subscription: the right of access, for a fixed term, to the services described in Article 5.
- Profile: the listing published on the Platform presenting the Professional.
- Charter: the Fâmme Professional Charter, appended hereto and forming an integral part of the contract.
- Members: users of the Platform who do not hold the status of Professional.
- Contract: the whole formed by the order form or subscription form, these Conditions, and the Charter.
3. Purpose and Scope
3.1. Fâmme operates a platform dedicated to the health of women and menstruating persons. It connects Members with a network of selected Professionals, publishes content, and organises events.
3.2. Fâmme is not a healthcare provider. Fâmme does not make diagnoses, does not provide treatment, does not dispense medical, therapeutic, or paramedical advice, and plays no role whatsoever in the relationship between the Professional and their patients or clients. Fâmme provides exclusively a visibility, networking, and community management service.
3.3. These Conditions apply exclusively to business-to-business (B2B) relationships. The Professional declares that they are subscribing in the context of their professional activity. Consumer law provisions, in particular the fourteen-day right of withdrawal provided for in Article VI.47 of the Code of Economic Law, are not applicable. The Professional expressly waives the right to invoke their own general terms and conditions, which are set aside even if communicated subsequently.
3.4. Subscribing implies unreserved acceptance of these Conditions and the Charter. Such acceptance is evidenced by the signature of the subscription form, by a checkbox ticked during online registration, or by payment of the first invoice.
4. Admission Requirements
4.1. Admission to the Réseau Fâmme is subject to a selection process comprising:
- an individual interview (by telephone or video conference);
- signature of the Charter;
- creation of the Profile using the form provided for that purpose.
4.2. Fâmme is free to refuse any application, without obligation to provide reasons and without compensation. No fees are due if the application is not accepted. The Contract is only formed upon written confirmation of admission by Fâmme.
4.3. The Professional warrants the accuracy and currency of the information, titles, and qualifications provided. They inform Fâmme without delay of any modification, suspension, or withdrawal of their right to practice, their accreditation, their insurance, or their professional registration.
5. Subscription Content
5.1. The Subscription includes:
- the creation and hosting of a Profile on the Platform (photo, biography, specialities, approach, contact details);
- internal listing of the Profile in the Réseau Fâmme directory;
- access to the Fâmme professional community and associated communication channels;
- the possibility to receive and send recommendations within the Network;
- free access to events organised by Fâmme and reserved for Network members, under the conditions of Article 6;
- technical maintenance and development of the Platform;
- four Profile updates per subscription period, carried out by Fâmme within a reasonable timeframe following receipt of a complete written request. Additional updates are invoiced at €10 excl. VAT per unit. Corrections of errors attributable to Fâmme are not counted against the quota.
5.2. The following are not included in the Subscription, unless separately agreed in writing: production of dedicated editorial or visual content (unless agreed in advance), paid advertising campaigns, priority placement in the directory, sale of products or experiences on the marketplace, co-organisation of events, and any individual consultancy service.
5.3. Best-efforts obligation. Fâmme undertakes to deploy reasonable means to ensure Profile visibility and Network activity. Fâmme does not guarantee any result, in particular no volume of views, contacts, recommendations, patients, clients, revenue, or any ranking in search engine results.
5.4. Fâmme freely determines the ergonomics, editorial organisation, and display order of Profiles, subject to treating Professionals on the same plan in a non-discriminatory manner.
6. Events
6.1. Fâmme organises events (network meetups, roundtables, workshops, seminars, launches). Access to events identified as "reserved for Network members" is free of charge for the Professional for the duration of their Subscription.
6.2. Participation is subject to prior registration and the number of available places. Fâmme may limit the number of participants, apply a registration priority order, and limit participation to one person per Professional.
6.3. Fâmme makes no commitment as to any minimum number of events, nor as to their frequency, format, location, or content. Fâmme may modify, postpone, or cancel an event, including at short notice. The cancellation or postponement of a free event gives rise to no right to compensation, nor to any reduction or refund of the Subscription, nor to reimbursement of costs incurred by the Professional (travel, accommodation, time spent).
6.4. Travel, catering, and accommodation costs remain the responsibility of the Professional, unless expressly stated otherwise.
6.5. Certain events may be paid or organised by third parties. In such cases, they are subject to specific conditions and pricing communicated in advance.
6.6. Unless the Professional objects in writing before the event, Fâmme may take photographs and videos at its events and use them for institutional communication purposes. The Professional may withdraw their consent at any time for future use.
6.7. Exchanges held at events or within the professional community constitute peer practice sharing. They engage only their authors and do not constitute medical advice, legal advice, or a recommendation by Fâmme.
7. Professional's Obligations
7.1. The Professional undertakes to:
- practise in compliance with applicable legislation, the deontological rules of their profession, and, where applicable, the law of 22 April 2019 on the quality of healthcare practice;
- hold, throughout the duration of the Contract, professional civil liability insurance covering their activity, and provide proof thereof upon simple request;
- comply with the Charter, in particular as regards patient-centred care, professional boundaries, and GDPR compliance;
- provide Profile content that is accurate, non-misleading, compliant with the rules applicable to health advertising, and refraining from any promise of cure or result;
- respond within a reasonable timeframe to Member enquiries received via the Platform;
- handle directly any complaint from a patient or client and inform Fâmme when the reputation of the Network is likely to be affected;
- refrain from any discriminatory, harassing, disparaging, or Network-values-contrary behaviour, including within the community spaces;
- observe confidentiality regarding exchanges within the professional community.
7.2. The Professional holds all rights, titles, and authorisations necessary in respect of all elements they transmit (texts, photographs, logos), and indemnifies Fâmme against any third-party claim in this regard.
7.3. The Professional refrains from using the contact data of other Professionals or Members obtained via the Platform for mass commercial prospecting or for building mailing lists, outside the collaboration and recommendation purposes provided for by the Contract.
7.4. The Professional is solely responsible for their professional acts, fees, contractual conditions, tax and social obligations, and compliance with their data protection obligations towards their patients and clients.
8. Pricing
8.1. The subscription plans are as follows, excluding VAT:
8.2. Prices are quoted excluding VAT. Belgian VAT at the applicable rate (21%) is added for Professionals established in Belgium. For taxable Professionals established in another EU Member State who provide a valid VAT number, the service is invoiced without Belgian VAT, the tax being due by the recipient under the reverse charge mechanism (Article 21, § 2 of the VAT Code and Article 196 of Directive 2006/112/EC). The Professional warrants the accuracy and validity of their VAT number.
8.3. The free month under the annual prepaid plan is acquired upon subscription. In the event of early termination attributable to the Professional, the benefit is forfeited and the Subscription is recalculated at the rate of €22 excl. VAT per month actually elapsed.
8.4. Solidarity pricing. Professionals practising within family planning centres, community health centres, or non-profit organisations may benefit from a reduced rate or free access, upon request and following review of their situation. This benefit is personal, non-transferable, granted for the duration of the current Subscription, and conditional upon the continued existence of the qualifying circumstances.
8.5. Locked-in rate. Fâmme may revise its pricing schedule for the future. However, the rate subscribed to by the Professional remains unchanged for the entire duration of their Subscription and upon each renewal, for as long as the Subscription remains uninterrupted. Price increases apply only to new subscriptions.
This guarantee applies to the rate of the plan actually subscribed to. It ceases automatically in the event of:
- interruption of the Subscription for more than thirty calendar days, for any reason whatsoever, including non-payment or a termination followed by a new subscription;
- a plan change at the Professional's initiative, in which case the applicable rate is that of the current pricing schedule for the new plan;
- a legislative, fiscal, or regulatory change having a direct effect on the price, in particular a change in VAT rate or regime, which is passed on automatically.
It does not extend to services, options, paid services, or paid events that do not form part of the Subscription.
8.6. Any promotional rate, launch rate, or "Founder" rate is valid for the duration and under the conditions announced at the time of subscription and, where applicable, detailed in specific conditions appended hereto.
9. Invoicing and Payment
9.1. An invoice is issued upon subscription and then, depending on the plan, monthly at the due date or annually. Invoices are drawn up and transmitted as structured electronic invoices via the Peppol network, in accordance with the obligation applicable to Belgian taxable persons since 1 January 2026. The Professional provides the data necessary for this transmission and declares that they are able to receive such invoices or, failing that, informs Fâmme accordingly.
9.2. Invoices are payable within fifteen (15) calendar days of the invoice date, by bank transfer to account [IBAN] or by any payment method made available by Fâmme [billing and payment service provider to be specified]. Bank charges specific to the Professional's institution remain their responsibility.
9.3. Any dispute regarding an invoice must be notified in writing within fifteen calendar days of its receipt, failing which the invoice is deemed accepted.
9.4. Late payment. In the event of non-payment by the due date, and automatically without prior notice of default:
- late payment interest is due at the reference rate increased by eight percentage points, in accordance with the law of 2 August 2002 on combating late payment in commercial transactions;
- a flat-rate recovery fee is due of €40 for any invoice of €1,000 or less, €70 for any invoice between €1,000.01 and €10,000, and €100 beyond that, without prejudice to reimbursement of reasonable actual recovery costs incurred.
9.5. In the event of persistent non-payment fifteen days after written notice, Fâmme may suspend access to the Profile and services, without such suspension releasing the Professional from payment of the amounts due for the remaining term of the commitment.
9.6. Amounts paid are non-refundable, except in the event of termination attributable to Fâmme pursuant to Articles 10.1 bis, 10.5, and 17.2.
10. Term, Renewal, and Termination
10.1. The Subscription is concluded for a fixed and firmly committed term of six or twelve months depending on the plan chosen, starting from the receipt of payment of the first invoice.
10.1 bis. Profile publication. The Profile is published after receipt of payment of the first invoice and receipt of all required elements (completed form, photograph, signed Charter). Fâmme undertakes to publish the Profile within ten business days of both conditions being met. If publication does not occur within thirty business days due to a cause attributable to Fâmme, the Professional may terminate the Contract in writing and obtain a full refund of amounts paid.
10.2. Monthly payment constitutes a cash-flow facility and not an absence of commitment. The Professional remains bound by payment of all monthly instalments for the subscribed period. A termination notified during a period takes effect at the end of that period, and the balance of remaining monthly instalments remains due, save for the application of Articles 10.5 and 11.
10.3. Renewal. At expiry, the Subscription is automatically renewed for a period of the same duration, unless termination is notified in writing (email sufficient) at least thirty calendar days before the expiry date. Fâmme informs the Professional of the expiry date and renewal conditions at least sixty days before that date.
10.4. Rate applicable upon renewal. In accordance with Article 8.5, renewal takes place at the originally subscribed rate, without application of any increases that have occurred in the interim, for as long as the Subscription remains uninterrupted. No price change is applied during a commitment period. In the cases referred to in Article 8.5, paragraph 2, where the rate guarantee ceases, the new rate is notified at least sixty days before expiry, and the Professional who does not accept it may terminate without charge or compensation up to thirty days before expiry.
10.5. Termination for breach. Either party may terminate the Contract by written notice in the event of a material breach by the other party that is not remedied within fifteen calendar days of a written notice of default. If the termination is attributable to Fâmme, amounts already paid corresponding to the period following termination are refunded on a pro-rata basis.
10.6. Either party may terminate the Contract with immediate effect, without compensation, in the event of the other party's bankruptcy, judicial reorganisation, liquidation, or cessation of activity.
10.7. Effects of termination. The Profile is taken offline within a reasonable timeframe, in principle within ten business days. Outstanding invoices remain due. Co-created content published before the end of the Contract (articles, portraits, newsletters) may be kept online, unless the Professional submits a written removal request for content that relates to them personally. Fâmme is not required to remove historical references appearing in archives, printed materials, or search engine caches.
11. Suspension and Exclusion from the Network
11.1. Fâmme may suspend or withdraw a Profile, with immediate effect, in the event of:
- breach of the Charter or of the obligations under Article 7;
- loss of the right to practise, withdrawal of accreditation, disciplinary sanction, or criminal conviction in connection with the professional activity;
- false, misleading, or outdated information in the Profile;
- behaviour endangering the safety, dignity, or health of Members;
- serious harm to the reputation of the Network or of Fâmme;
- non-payment under the conditions of Article 9.5.
11.2. Except in cases of urgency or manifest seriousness, Fâmme informs the Professional in advance of the alleged facts and allows a period of seven calendar days to submit observations.
11.3. In the event of exclusion attributable to the Professional, amounts paid are not refunded and the remaining monthly instalments for the commitment period remain due as a flat-rate indemnity compensating Fâmme for costs incurred.
11.4. The excluded Professional immediately ceases all use of the name, logo, badges, and membership designation of the Réseau Fâmme on their own communications.
12. Platform and Conditions Updates
12.1. Beta phase. The Professional acknowledges that the Platform is under active development. Certain features may be added, modified, or removed, and the functional scope may change. Fâmme undertakes not to substantially reduce the core services described in Article 5.1 during a commitment period without offering the Professional the choice between a price adjustment and termination without charge.
12.2. Fâmme may modify these Conditions. Modifications are notified by email at least thirty days before they come into effect. If a modification materially and adversely affects the Professional's rights, they may terminate without charge or compensation within thirty days of notification, with effect on the date the modification comes into force. Otherwise, the new Conditions apply. The Conditions accepted at the time of subscription continue to apply to the current commitment period with regard to price, term, and scope of services.
12.3. Fâmme may engage subcontractors and technical service providers for the performance of the Contract, without this affecting its obligations.
13. Liability and Exclusions
13.1. Fâmme is not responsible for the services of Professionals. Fâmme exercises no control over the acts, diagnoses, advice, treatments, fees, availability, or contractual obligations of listed Professionals. The selection process and the Charter constitute a filter for consistency and values, and not a guarantee of competence, quality, result, or compliance. Any contractual relationship between a Member and a Professional is formed exclusively between them.
13.2. Fâmme is in particular not liable for:
- damage resulting from care, advice, or support provided by the Professional or by another Network member;
- recommendations, referrals, or cross-referrals between Professionals;
- the content of the Profile and information provided by the Professional;
- absence of commercial results, reduced visibility, loss of clientele, loss of revenue, loss of earnings, or reputational damage;
- decisions of search engines, social networks, or third-party platforms, in particular algorithm changes, de-indexing, or account removals;
- interruptions, slowdowns, bugs, data losses, or Platform unavailability, including those attributable to the hosting provider or third-party technical service providers;
- hacking, intrusions, ransomware, or unauthorised access occurring despite the implementation of reasonable security measures;
- content published by Members, including reviews, comments, or testimonials;
- statements, content, and practices exchanged within the professional community or at events;
- cancellation, postponement, or modification of a free event;
- relationships, collaborations, or disputes arising between Professionals in the context of the Network.
13.3. No guarantee of continuous availability is provided. Fâmme may interrupt access to the Platform for maintenance operations, informing the Professional in advance wherever possible.
13.4. Liability cap. Fâmme's total liability under the Contract, for all causes combined and per twelve-month period, is limited to the amount excluding VAT actually paid by the Professional in the twelve months preceding the event giving rise to liability. Fâmme is not liable for indirect or intangible damages, in particular loss of profit, loss of clientele, data loss, or reputational damage.
13.5. The limitations and exclusions in Articles 13.1 to 13.4 do not apply in cases of fraud, wilful misconduct, gross negligence by Fâmme or its agents, harm to life or physical integrity, or where mandatory Belgian law so requires, in particular Article VI.91/4 of the Code of Economic Law. They may not have the effect of voiding the Contract of its substance.
13.6. The Professional indemnifies Fâmme against the consequences of any third-party claim, in particular from a patient or client, arising from their professional activity, the content of their Profile, or a breach of their contractual or legal obligations.
14. Intellectual Property
14.1. The Platform, the "Fâmme" trademark, logos, badges, graphic charters, texts, visuals, and databases of Fâmme are protected. No rights are transferred to the Professional, other than the right to use, for the duration of the Contract, the designation "Member of the Réseau Fâmme" and the visuals provided for that purpose, in compliance with the usage instructions communicated.
14.2. The Professional grants Fâmme, for the duration of the Contract and worldwide, a non-exclusive, royalty-free, and non-transferable licence to use their name, logo, photograph, biography, and the content they transmit, for the purposes of Profile publication, listing, promotion of the Network, and communication on Fâmme's channels, including social media, the newsletter, and presentation materials.
14.3. Co-created content (articles, interviews, portraits) remains usable by Fâmme after the end of the Contract for publications already made, subject to Article 10.7.
14.4. Use of the Fâmme trademark for advertising purposes beyond the Network membership designation requires Fâmme's prior written consent.
15. Personal Data
15.1. Each party acts as an independent data controller for the processing it carries out for its own purposes. Fâmme is data controller for the data of Professionals and Members processed in the context of operating the Platform. The Professional is the sole data controller for the data of their patients and clients, including health data, and bears sole responsibility for the corresponding obligations, in particular as regards legal basis, information notices, security, records of processing activities, and breach notification.
15.2. The Professional acknowledges that the data on their Profile is public and intended to be indexed by search engines.
15.3. When a contact or appointment request is transmitted via the Platform, Fâmme acts as a mere technical intermediary for transmission and does not retain any health data. The Professional undertakes never to communicate identifiable health data via community channels or communications with Fâmme.
15.4. The processing of Professionals' data is detailed in the Privacy Policy available at [URL]. Rights of access, rectification, erasure, restriction, objection, and portability are exercised by contacting doro@fammevisible.com. A complaint may be lodged with the Data Protection Authority (www.autoriteprotectiondonnees.be).
15.5. If, in the context of a specific service, Fâmme were to process data on behalf of the Professional, a data processing agreement compliant with Article 28 of the GDPR would be concluded separately.
16. Confidentiality
16.1. Each party refrains from disclosing the confidential information of the other party that comes to their knowledge in connection with the Contract, in particular information shared within the professional community, anonymised clinical cases, features under development, negotiated rates, and strategic documents.
16.2. This obligation subsists for three years after the end of the Contract.
17. Force Majeure
17.1. Neither party is liable for failure to perform its obligations resulting from a force majeure event or from an unforeseeable and reasonably insurmountable circumstance, in particular a hosting or network outage, a cyberattack, a decision by a public authority, an epidemic, an armed conflict, or a serious and prolonged incapacity for work affecting Dorothée Dinne.
17.2. If the impediment exceeds sixty days, either party may terminate the Contract in writing, with amounts paid for the unperformed period being refunded on a pro-rata basis.
18. Miscellaneous
18.1. Independence of the parties. The Contract creates neither an employment relationship, nor a partnership, nor a mandate, nor exclusivity, nor a non-compete obligation. The Professional remains free to be present on other platforms.
18.2. Assignment. Fâmme may assign the Contract to a legal entity it creates or controls in order to continue the Fâmme activity, or in the context of a business transfer, upon informing the Professional. The Professional may not assign the Contract without prior written consent, the Subscription being personal and non-transferable.
18.3. Partial invalidity. If a clause is declared null or unenforceable, the remaining clauses continue in force and the affected clause is replaced by a valid clause of equivalent effect.
18.4. No waiver. A party's failure to exercise a right does not constitute a waiver of that right.
18.5. Entirety and document hierarchy. The Contract supersedes and replaces all prior agreements on the same subject matter, including commitment contracts signed during the beta phase, unless otherwise expressly agreed in writing. In the event of contradiction, the order of priority is as follows: (1) the specific conditions applicable to the Professional, in particular the "Founder" Specific Conditions in Annex 4, (2) the subscription form or order form, (3) these Conditions, (4) the Charter, (5) the other annexes.
18.6. Notices. Notices are validly given by email to the addresses provided by the parties.
18.7. Language. The Conditions may be translated. In the event of discrepancy, the French version prevails.
19. Governing Law and Dispute Resolution
19.1. The Contract is governed by Belgian law, to the exclusion of conflict-of-laws rules.
19.2. In the event of a dispute, the parties undertake to seek an amicable resolution within thirty days of written notification, where appropriate through mediation.
19.3. Failing agreement, the courts and tribunals of the judicial district of Brussels have sole jurisdiction, without prejudice to applicable mandatory provisions.

ANNEX 4 — "Founder" Specific Conditions
These specific conditions supplement the General Terms and Conditions. They apply exclusively to Professionals benefiting from the "Founder" rate. In the event of contradiction, they prevail.
A1. Eligible Beneficiaries
The "Founder" rate is reserved for the first 10 Professionals who signed a commitment contract during the beta phase, before 31/07/2026. It is personal and non-transferable.
A2. Rate
The "Founder" rate is €15 excl. VAT per month. This rate remains unchanged for as long as the Subscription remains uninterrupted (Art. 8.5). An interruption of more than thirty days results in permanent loss of the "Founder" rate.
A3. Term and Start Date
Twelve firm months, from receipt of payment of the first invoice, issued after the legal establishment of Fâmme. The beta commitment contract does not constitute an invoice.
A4. Renewal
No automatic renewal at the end of the first period. Fâmme organises a review meeting within the 30 days preceding expiry. Renewal requires written agreement from both parties. In the event of renewal, automatic renewal applies pursuant to Art. 10.3 of the General Conditions, with the Founder rate maintained.
A5. Voluntary Contributions
Participation in tests and feedback: voluntary, unpaid, and not conditional on maintaining the rate. Suggestions submitted may be freely used by Fâmme.
A6. Beta Phase
The Founder Professional expressly acknowledges the evolving nature of the Platform (Art. 12.1).
A7. Communication
Fâmme may refer to the founding member status. The Professional may use it on their own communications for the duration of their Subscription only.
